Custom Manufacturing Terms & Conditions
ECOZZ s.r.o. · Company ID 28371003 · VAT ID CZ28371003 · Moskevská 1842, 272 04 Kladno
1. Seller and scope
The seller is ECOZZ s.r.o., Company ID 28371003, VAT ID CZ28371003, registered office at Moskevská 1842, 272 04 Kladno, Czech Republic, registered with the Municipal Court in Prague under file C 136799, email lh@ecozz.com ("ECOZZ").
These Terms govern custom manufacture and delivery of bags and related services ordered through custom.ecozz.com. An individual quote or written agreement prevails over these Terms. A customer may be a business or a consumer; provisions marked B2B apply only where the customer acts for business purposes.
2. Request, quote and contract formation
A submitted configuration is a non-binding request. Configurator prices are estimates. ECOZZ then issues a specific quote and production proof which together define the product, quantity, price, deposit, shipping and expected date.
The customer accepts the quote through a button clearly stating approval and the obligation to pay the deposit. Depending on the quote, the deposit may be paid online through Stripe or by bank transfer against an issued invoice. The contract is formed when successful deposit payment is confirmed, or when ECOZZ expressly confirms the contract in writing or starts performance at the customer's express request. Selecting or issuing an invoice, or a failed payment, does not by itself start production.
A quote is valid for the period stated in it, otherwise 7 days. Before contract formation ECOZZ may withdraw a quote because of an obvious error, unavailable capacity, unlawful content or technical infeasibility. Acceptance is logged together with the versions of the quote, proof and these Terms.
3. Proof approval and customer responsibility
Before approval the customer checks artwork, wording and spelling, dimensions, crop, placement, orientation, quantity, options, colours and all other details. Approval confirms that the proof matches the instructions and authorises production of that exact version.
On-screen display is indicative. Colour and appearance may reasonably vary with material, printing process, production batch, lighting and display settings. Exact Pantone, physical-sample or previous-batch matching is binding only when expressly stated in the quote. Customary production variations that do not prevent the agreed use and comply with mandatory law are not defects.
ECOZZ checks technical feasibility, not the substantive accuracy of text, marks, QR codes, contact details or rights to content. A post-approval change is a change request; ECOZZ may revise price and timing and suspend production until renewed approval.
4. Price, taxes and payment
The price and currency in the latest approved quote are binding. Unless expressly stated otherwise, prices exclude VAT, import duties, local charges and other public levies. Applicable tax is calculated and shown before payment or on the tax document according to the place of supply and customer details.
The deposit is stated in the quote; it is normally 50% of the total price, but ECOZZ may set another amount according to the scope or risk of the order. For invoice payments, the customer follows the bank details, payment reference and due date stated on the issued document. The balance and any other due amounts must be paid before dispatch unless the quote or ECOZZ's written confirmation states otherwise.
If the customer is late, ECOZZ may suspend work, move the schedule and withhold dispatch. For B2B orders ECOZZ may claim statutory default interest and fixed recovery costs. Reasonable storage costs may be charged after prior notice.
5. Deposit, cancellation and incurred costs
The deposit is a payment toward the purchase price. After contract formation ECOZZ may immediately use it for artwork preparation, production capacity, materials, samples, labour and binding supplier orders.
Because the goods are made to individual specifications and normally cannot be resold, the customer has no contractual right to cancel unilaterally after contract formation. If the customer requests cancellation and ECOZZ agrees, the customer pays for work performed, ordered material, third-party commitments, reasonable storage and proven loss. ECOZZ may set these claims off against the deposit, refund any excess and invoice any shortfall. Mandatory consumer rights and ECOZZ's liability for its own breach remain unaffected.
If ECOZZ finally cancels before production for reasons not attributable to the customer, it refunds the unused deposit; further claims are governed by applicable law. Customer delay in providing artwork, approval, address or payment extends deadlines by at least the delay and the time reasonably needed to reschedule production.
6. Production, delivery and transfer of risk
Dates are estimates unless the quote expressly states a fixed date. They begin only after receipt of the deposit, final approval and all usable materials. ECOZZ will inform the customer of a known material delay.
Shipping is charged as quoted. For consumers, risk passes when the consumer or a designated person receives the shipment. For B2B orders, risk passes on delivery to the first carrier unless agreed otherwise. Title passes only after all amounts for the order have been paid in full.
A B2B customer must inspect package count and apparent transport damage on receipt and record reservations with the carrier. ECOZZ may make partial deliveries by agreement.
7. Artwork, licence and third-party rights
The customer warrants that it holds all rights, licences and consents required to manufacture from supplied logos, photographs, text, trade marks and other content. The customer grants ECOZZ a non-exclusive licence to technically adapt, reproduce and share that content with involved manufacturers and carriers only as needed to fulfil the order.
ECOZZ may reject content that is manifestly unlawful, infringes third-party rights or may harm ECOZZ. A B2B customer indemnifies ECOZZ for reasonable costs and loss arising from a valid third-party claim based on customer-supplied content. Marketing use of the finished order requires separate customer consent.
8. Defects and complaints
Complaints may be sent to lh@ecozz.com with the order number, defect description, affected quantity and photographs, or the customer must allow inspection. ECOZZ issues consumers confirmation of receipt and resolution and resolves a complaint without undue delay, no later than 30 days unless a longer period is agreed with the consumer.
A consumer may raise a defect appearing within two years after receipt and has all remedies granted by the Czech Civil Code. These Terms do not restrict them. A B2B customer reports apparent defects without undue delay, preferably within 7 days, and hidden defects immediately after discovery.
A defect does not include content or a property expressly approved in the proof, a problem caused by incorrect or low-quality customer files, ordinary screen-to-print variation, normal wear, improper storage, washing or use contrary to instructions. This does not apply where ECOZZ knew of or caused the problem in breach of contract.
9. Consumers and withdrawal
Where the customer is a consumer, mandatory consumer law applies first. Bags with individual print, dimensions, configuration or other personal specification are goods made to the consumer's specifications; the 14-day withdrawal right without reason does not apply under Section 1837(d) of the Czech Civil Code. Rights relating to defective performance remain unaffected.
The choice of Czech law does not deprive a consumer of mandatory protection under the law of the consumer's habitual residence where EU law makes that protection applicable.
10. Limitation of liability for B2B
B2B only: ECOZZ is not liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by customer files, instructions or delay. ECOZZ's total liability for one order is limited to the amount actually paid for the affected order.
The limitation does not apply to intentional misconduct or gross negligence, harm to natural rights, or liability that cannot legally be limited. This section does not apply to consumers.
11. Force majeure
ECOZZ is not liable for delay caused by an event outside its reasonable control, including supplier or carrier failure, material shortage, strike, natural event, epidemic, war, sanctions, government action or major infrastructure outage. Deadlines are reasonably extended during the event. If it lasts more than 60 days, either party may terminate the unperformed part and the parties settle performance and reasonable costs already incurred under applicable law.
12. Electronic communication and order access
The customer agrees to communication by email and through the customer portal. A magic link is a personal credential; the customer must protect it and promptly report suspected misuse. A person approving for a legal entity confirms authority to do so.
ECOZZ keeps audit records of approvals, payments and changes, including time and document versions. Personal data is processed under the Privacy Policy.
13. Governing law, disputes and final provisions
The contract is governed by Czech law. B2B disputes are subject to the competent courts of the Czech Republic according to ECOZZ's registered office where permitted by law. Consumer jurisdiction and mandatory protection remain unaffected.
A consumer may refer an unresolved dispute to the Czech Trade Inspection Authority, Štěpánská 44, 110 00 Prague 1, www.coi.gov.cz.
Invalidity of one provision does not affect the remainder. The version accepted when the quote was approved governs the specific contract; later amendments do not affect an existing contract without agreement.
